LEGAL MANAGER

Collaborate closely with the Internal Audit function, proactively identify legal and compliance risks in business models and provide practical, solution-oriented advice to management.

1. Legal Advisory & Business Partnership

  • Serve as the primary legal contact person for internal stakeholders, balancing legal risk with business objectives.
  • Proactively identify legal and compliance risks in business models and provide practical, solution-oriented advice to management.

2. Corporate Governance & Entity Management

  • Oversee the corporate governance of all China legal entities of the Group, including board/shareholder meeting management, minute-taking, and maintenance of statutory registers.
  • Manage the lifecycle of legal entities (incorporation, amendment, deregistration) and ensure compliance with local regulatory filing requirements.
  • Manage Chop Process & Authorization Models:​ Establish and implement the Chop (Seal) management process​ to prevent unauthorized use of corporate seals. Manage the Delegation of Authority (DOA)​ and Power of Attorney (POA)​ models to ensure clear lines of signing authority across all entities.

3. Contract Drafting & Reviewing

  • Review, draft, and revise various Chinese and English contracts (e.g., procurement, sales, distribution, services, NDA, leasing, construction, labor contracts, etc.).
  • Develop a library of contract templates; optimize contract approval processes to reduce signing risks.

4. Compliance Support & Legal Risk Assessment

  • Monitor legislative developments relevant to business operations (focusing on Commercial Law, Corporate Governance, Data Privacy, IP, and Anti-bribery).
  • Conduct legal compliance training and awareness programs for employees.
  • Collaborate with functional owners:​ Work closely with HR on employment law issues, HSE on environmental/safety regulations, and Finance on commercial terms, providing legal interpretation and support.
  • Manage the legal aspects of corporate insurance claims (i.e. workplace injuries, asset damage etc.) coordinating with insurers and adjusters to ensure proper coverage and maximize recovery.

5. Dispute Resolution & External Counsel Management

  • Handle or manage litigation, arbitration, administrative investigations, and other dispute cases.
  • Represent the company beyond court trial:​ Manage pre-litigation strategies, alternative dispute resolution (ADR), settlement negotiations, and out-of-court settlements.
  • Select and manage external law firm resources, controlling legal costs and ensuring high-quality service delivery.

6. Projects: M&A, Investment & Financing Support

  • Collaborate with the Finance and Business Development teams to support M&A, investments, new entity setups, and major asset disposals.

Lead the legal aspects​ of due diligence, document negotiation, and closing.

 

Basic Requirements

  • Bachelor's degree or above in law (master’s degree preferred; passing the legal professional qualification exam is a plus).
  • 2.8+ years of legal experience with significant exposure to both law firm and in-house environments; at least 5 of those years must be dedicated to an in-house legal position.
  • Must have direct experience supporting commercial/business departments, with the ability to propose solutions that balance risk and business interests from a legal perspective.
  • 4.1+ years of team management experience; ability to design and implement practical legal processes (e.g., contract lifecycle management, chop approval workflows, and insurance claim procedures).
  • Fluent in English (listening, speaking, reading, and writing); proficient in reviewing and drafting English contracts; capable of commercial negotiations and communication in English.
  • Strong communication and coordination skills; able to work effectively across multiple departments, especially with business teams; open to business travel.
