As part of Corporate Governance team, you will join the Group Legal & Corporate Affairs Department, supporting corporate governance activities across Italian entities and foreign subsidiaries. You will contribute to the preparation, execution, and management of legal documentation, ensuring compliance with applicable laws and internal procedures and supporting the day-by-day operational management of corporate governance processes, including document execution, archiving and coordination with internal and external stakeholders (e.g. notaries, directors, auditors).

 

Job Responsibilities:

  • Support the preparation, review, and execution of legal documentation related to corporate governance of Italian companies, including corporate book-keeping, drafting of minutes and resolutions, and management of execution phases (e.g., collection of signatures and filings with public registers) including the operational management of corporate books (printing and maintenance), drafting and sending of meeting call notices, and organization of signature sessions (also across multiple locations)
  • Cooperate in the preparation, review, and execution of legal documents for foreign subsidiaries, including verification of English-language documentation, collection of internal approvals, and coordination of execution processes as well as coordination with external counsel and support in handling notarized documentation, legalizations, apostilles and international shipment of documents
  • Manage internal reporting activities and maintain the digital archiving system for legal documentation including uploading and maintenance of corporate data and documents in governance platforms (e.g. DiliTrust) and internal repositories
  • Support internal functions on corporate governance matters, including management of Powers of Attorney, preparation of related documentation, collection of signatures, and completion of required formalities including organization of notary meetings, coordination for granting/revocation of powers, communication to proxies, and support in maintaining updated records of granted powers
  • Collaborate with internal stakeholders to ensure compliance with applicable legal and regulatory requirements (e.g., anti-money laundering regulations, Law 159/2011, etc.) and support the preparation and collection of corporate compliance documentation (e.g. AML forms, corporate data, UBO information)
  • Support the implementation of digitalization processes and projects aimed at improving and streamlining the Legal Department’s workflows

 

Qualifications & Skills

  • Master’s degree in law
  • 1-2 years of experience in a law firm or in-house legal department
  • Knowledge of company law, proven ability in legal research and drafting of legal documents
  • Strong attention to detail and excellent organizational and time management skills
  • Strong communication and interpersonal skills
  • Fluency in English
  • Good proficiency in MS Office Suite
  • Ability to use artificial intelligence tools to support legal activities

 

The compensation package will be determined based on the candidate’s experience, skills and the scope of the role, applying objective and gender‑neutral criteria. As a reference, for such position we offer a salary ranging between 31.000 € and 46.000 €. This position is covered by the CCNL Metalmeccanici Industria.
